ADMINISTRATIVE AND CONSTITUTIONAL LAWS

Our firm has a thriving practice representing individuals, private parties (including companies, non-profit entities and unions) and foreign investors before administrative courts in Jordan. Having chaired the highest administrative courts in Jordan, and in the League of Arab States, the Hon. Fahed Abulethem Nsour is considered a leader in the field of administrative law. Under his leadership, Nsour & Associates has developed an extensive experience in challenging governmental decisions. Lawyers from other firms often turn to him to seek his advice on complex administrative law questions. The firm has successfully represented large companies who challenge government actions and decisions and has recently represented Irenaios Skopelitis, patriarch of the Church of Jerusalem in groundbreaking cases against the Jordanian government.

ARBITRATION

While we enjoy fighting at all litigation levels, we welcome resolving disputes through alternative dispute resolution means when appropriate. Our lawyers are founding members of the Jordan Arbitrators Association, and are trained to handle the most complex legal questions through arbitration. For example, we have won a case for the Arab Potash Company against ATA, the Turkish mega-construction firm in the case of the collapse of one of the dams in the Jordan Valley. In that case, the Arab Potash Company received a mutli-million compensation from ATA. Likewise, our lawyers have arbitrated cases that involved influential parties including a major telecommunications companies in the Middle East. We have developed a special strength in FIDIC contracting and disputes and thus have been able to successfully handle complicated matters, particularly with respect to government contracts.

BANKRUPTCY

Nsour & Associates has extensive experience in acting as either creditors’ or debtors’ counsel. We had, for example, represented the Bank of Petra through out its dissolution phase for a few years. We currently represent every type of party in bankruptcy cases, insolvency proceedings, and out-of-court workouts and restructurings, last of which was managing the dissolution of Dunes Club Amman.

CONSTRUCTION
Our firm has developed an extremely successful construction practice representing formally the Arab Potash Company in its mega projects, and currently the Arab International Company for Construction and Contracting. We have worked on worked on some of the most complex infrastructure, industrial, commercial and residential projects ever constructed, including roads, public transportation systems, ports, petrochemical facilities, manufacturing facilities, hospitals, and mixed-use projects. We are involved in the preparation, operation, post-operation phases and we most of the time win cases whether in courts or before arbitration panels. We recently won a major case against Amman Greater Municipality for the Arab International Company for Construction in a major road project, and we are currently engaged in other arbitration proceedings with probable success.

CONSULTANCY

The firm has become very active in consultancy projects. Under the leadership of Mohammad Nsour, the firm’s consultancy experience includes acting as a national consultant for the National Export Strategy of Jordan (a program funded by the International Trade Center) and as legal and infrastructure expert for the Trade and Transport Facilitation Program of Jordan (a 33 million Euros project funded by the European Union). Other consultancy experience include working with the Afghani Government on preparing Public-Private Partnership legal framework for the country which was approved as we presented it. The firm has also an active practice in the Arabian Gulf area; most recently Dr. Mohammad Nsour has acted as a legal expert on the restructuring of a major governmental commission in Oman and as a legal expert in drafting the new health law of Saudi Arabia. In the meantime, Mohammad is engaged with the World Health Organization on work related to tobacco control in Jordan and with the Government of the  United Arab Emirates regarding drafting a new commercial code for the country.  

CORPORATE

The firm has practiced corporate law on a daily basis. We advise on transaction structuring and implementation, securities matters, corporate governance, and general corporate matters. Currently, we are involved in merging two major construction companies and have just finished advising on selling one of the largest water companies in Jordan.

DEBT RECOVERY AND COLLECTION

We are experienced debt recovery and collection attorneys who will vigorously pursue the recovery of past due accounts and delinquent debt owed to you. We understand that success in the collection process is a function of negotiation, firm letters of demand, and in some cases, aggressive legal action. We are wellversed in the laws governing debt collection and are here to strongly pursue justice on your behalf. We have already developed an expertise in representing creditors from the United Arab Emirates whose debtors have left the country to Jordan.  

EMPLOYMENT

As lawyers for large companies with a large number of employees and contractors, we have litigated thousands of labor and employment cases, representing both employers and workers. The Firm has also guides many employers in the drafting and publication of their policies and procedures, and assists them in drafting, negotiating and enforcing employment agreements including designing effective restriction clauses and competition with the employer and protection of trade secrets. Recently, we successfully restructured the Arab International Company for Construction and Contracting and were able to orchestrate an arrangement to reduce the number of labor force amicably without any court action initiated by the affected employees.

INTERNATIONAL TRADE AND CUSTOMS

We handle the special problems related to the movement of goods, services and intellectual properties across borders. We represent our clients’ interests vis-à-vis government, administrative tribunals and the courts, in Jordan and abroad. We focus on advising our clients and their lawyers on legal matters germane to the international trade environment in which they do business. In addition to the Jordanian laws of customs and international trade which relate to the regulation of imports and exports, we advise clients on laws which are tangential to their trading businesses. We likewise give opinions related to the World Trade Organization’s laws and other free trade agreements.

INTELLECTUAL PROPERTY

We offer a broad range of advice on intellectual property matters to domestic and international matters among many other things, we advise on patents and allied rights, brands and trademarks, copyright and neighboring rights, industrial designs, trade secrets, competition and regulatory law. We file trade-mark, patent, industrial design and copyright applications on behalf of clients and assist in filing similar applications applied for in other countries. We regularly advise clients and draft agreements on the franchising, licensing and assignment of intellectual property rights in a wide variety of contexts, including character licensing and use of intellectual property as security.

INVESTMENT

We actively advise the government and investors on investment legal matters. Nsour & Associates has a wide experience in providing legal services to both multinationals investing in Jordan and to domestic companies receiving investments from their foreign counterparts. We advise our clients in determining the most effective structuring of their deals, assist in the evaluation of potential business partners and locations and perform due diligence on target companies or assets. Additionally, we draft, review and comment on transactional documents, negotiate all terms of these documents on our client’s behalf, and monitor the complete investment or divestment process for our clients in order to safeguard against possible pitfalls. We also advise the government on a wide array of investment regulatory issues and provide consultation on regular basis to the Jordan Investment Commission.

LITIGATION

After litigating thousands of cases, Nsour & Associates has earned a reputation as a litigation leader in Jordan. Our lawyers regularly act on a wide range of litigation relating to commercial contracts, class actions, tax, competition, product liability, intellectual property, professional negligence, directors’ and officers’ liability – including breach of fiduciary duty, insurance, energy, real estate, insolvency, transportation, , construction, employment, and regulatory and constitutional matters. We are qualified to appear before all level of courts and tribunals.

TRANSLATION

Translating legal texts from Arabic to English and vise versa is an art that we master. We have been involved in numerous translation projects including translating legislation, contracts, and agreements. Our latest translation assignment was translating the Jordan National Export Strategy from English into Arabic, and translating the WTO Trade Facilitation Agreement from English to Arabic. We are also qualified to provide legal translation from French to Arabic and vise versa.
